BUYER INTRODUCTION TERMS

1. INTRODUCTION

Novignota researches and identifies potential suppliers based on the sourcing requirements you provide.

If you request an introduction, Novignota may share your company name, the sourcing requirements needed for the introduction, contact person's name and business contact details with the potential supplier for the purpose of making that introduction.

2. DIRECT DEALINGS

After the introduction, you and the supplier communicate, negotiate and contract directly.

You and the supplier are responsible for agreeing and verifying all commercial and product matters, including price, quantity, specifications, quality, certification, regulatory requirements, delivery, payment, warranties and other transaction terms.

Novignota is not a party to any contract between you and the supplier and cannot agree to prices, terms or transactions on behalf of you or the supplier.

3. INFORMATION AND RESPONSIBILITY

Novignota may provide information from the supplier, documents provided to Novignota, public sources or checks carried out by Novignota when researching or identifying a potential supplier.

If Novignota independently checks specific information, we will state what was checked. We will also make clear when information has not been independently verified.

Unless Novignota expressly and accurately states otherwise, such information is not a warranty, certification, approval or guarantee by Novignota.

Novignota does not guarantee the supplier's products, quality, capacity, certification, regulatory compliance, delivery or performance.

You are responsible for making any checks you consider necessary before entering into a contract with the supplier.

4. FEES

You do not owe Novignota any fee for this introduction.

The supplier may pay Novignota a commission if transactions result from the introduction. The supplier-side commission arrangement is separate from these Buyer Introduction Terms.

5. CONSENT TO INTRODUCTION

By asking Novignota to make the introduction, you agree that Novignota may share the information described in Section 1 with the potential supplier identified in Novignota's email for that purpose.

You remain free to decide whether to contact, negotiate with or enter into any transaction with the supplier.

If you are replying on behalf of a business, you confirm that you are authorized to request the introduction for that business.

To request an introduction, reply to Novignota's email using the supplier's name:

Yes, please make the introduction to [Supplier name shown in Novignota's email] and share the necessary company and contact details with them. I agree to Buyer Introduction Terms v1.0.
